1. General terms

1.1. This User Agreement (hereinafter referred to as Agreement) refers to «OpenTrade Commerce» Site located at https://otcommerce.com/.

1.2. «OpenTrade Commerce» Site (hereinafter referred to as site) is a property of a legal entity «Opentrade Commerce» LTD (Reg. Number: 1173668009734, TIN: 3664226667, registration address: 394036, Russian Federation, Voronezh, Sredne-Moskovskaya Str., Bld. 7/9, room. 15).

1.3. This Agreement governs relationship between administration of «OpenTrade Commerce» site (hereinafter referred to as the site administration) and this site User.

1.4. Site administration reserves the right to modify, add or delete this Agreement clauses at any time without User’s notification.

1.5. Site use by User means acceptance of Agreement and changes made to this Agreement.

1.6. User is personally responsible for verifying this Agreement for changes in it.

2. Terms and definitions

2.1. Below listed terms have the following meaning for the purposes of this Agreement:

2.1.1 «OpenTrade Commerce» — is an Internet resource located on domain name https://otcommerce.com/, carrying out its activities through Internet resource and related services (hereinafter referred to as Site)

2.1.2. «OpenTrade Commerce» – is a site containing information about Goods and / or Services and / or Other Values for User, Seller and / or Service Provider, which allows to select, order and / or purchase Goods and / or receive service.

2.1.3. Site administration – authorized employees for site management, acting on behalf of legal entity «OpenTrade Commerce» LTD.

2.1.4. Site User (hereinafter referred to as User) is a person who has access to Site, through the Internet and using this Site.

2.1.5. Site content — (hereinafter referred to as Content) — protected results of intellectual activity, including texts of literary works, their names, forewords, annotations, articles, illustrations, covers, musical works with or without text, graphic, text, photographic, derivative, composite and other works, User interfaces, visual interfaces, trademark names, logos, computer programs, databases, as well as design, structure, choice, coordination, appearance, overall style and location of this content, included into Site and other intellectual property collectively and / or individually contained on Site https://otcommerce.com/.

3. Subject of agreement

3.1. Subject of this Agreement is to provide User with access to Goods and / or services provided on Site.

3.1.1. Site provides the following services to User:

• access to information about Goods and / or service to information about purchase of Goods on paid / free basis;

3.1.2. This Agreement covers all existing (currently functioning) Site services, as well as any subsequent modifications and additional services that appear in the future.

3.2. Access to Site is provided on free basis.

3.3. This Agreement is a public offer. By accessing the Site, the User is deemed to have acceded to this Agreement.
3.4. Use of Site materials and services is governed by the norms of the current legislation of the Russian Federation.

4. Parties rights and obligations

4.1. Site administration has the right:

4.1.1. Change rules for using the Site and modify Site content. Changes come into force from the moment of publication of Agreement new edition on the Site.

4.2. User has the right:

4.2.1. Use all services available on the Site and purchase any Goods and / or Services offered on the Site.

4.2.2. Ask any questions related to Site services:

4.2.3. Use the Site solely for purposes and procedure stipulated in the Agreement and allowed by the legislation of the Russian Federation.

4.2.4. It is allowed to copy information from the Site with the source.

4.2.5. Demand administration to hide any information about User.

4.2.6. Use Site information for commercial purposes without special permission.

4.3. Site User undertakes:

4.3.1. Provide additional information, which is directly related to services provided by Site, upon Site Administration request.

4.3.2. Observe authors’ and other right holders’ property and non-property rights when using the Site.

4.3.3. Do not take actions that can be considered as violating the Site normal operation.

4.3.4. Do not distribute with the use of Site any information that is confidential or protected by the legislation of the Russian Federation on individuals or legal entities.

4.3.5. Avoid any actions that could violate information confidentiality protected by the legislation of the Russian Federation.

4.3.6. Do not use Site to disseminate information of an advertising nature, except with Site Administration consent.

4.3.7. Do not user services with the goal:

4.3.7.1. violation of minors’ rights and (or) causing them harm in any form.

4.3.7.2. minority rights infringement.

4.3.7.3. representing yourself for another person or representative of the organization and (or) the community without sufficient rights, including for the employees of this site.

4.3.7.4. misleading concerning properties and characteristics of any Goods and / or services posted on the Site.

4.3.7.5. incorrect comparison of Goods and / or Services, as well as formation of negative attitudes towards persons (not) using certain Goods and / or services, or convictions of such persons.

4.3.8. Ensure reliability of provided information.

4.3.9. Ensure personal data safety from third-party access.

4.4. User is forbidden to:

4.4.1. Use any devices, programs, procedures, algorithms and methods, automatic devices or equivalent manual processes to access, purchase, copy or track Site content.

4.4.2. Violate Site proper functioning.

4.4.3. Bypass in any way Site navigation structure to receive or attempt to obtain any information, documents or materials by any means that are not specifically represented by Site services.

4.4.4. Have unauthorized access to Site functions, any other systems or networks related to this Site, as well as to any Site services.

4.4.5. Violate security or authentication system on the Site or in any network related to the Site.

4.4.6. Perform reverse search, track or attempt to track any information about any other Site User.

4.4.7. Use Site and its content for any purposes prohibited by the laws of the Russian Federation, and incite to any illegal activities or other activities that violate site rights or other parties.

5. Use of site

5.1. Site and its content are owned and managed by Site Administration.

5.2. Site content is protected by copyright, trademark law, and other intellectual property rights and unfair competition laws.

5.3. This Agreement extends its validity to all additional terms and conditions for Goods purchase and / or services provision provided on the Site.

5.4. Information posted on this Site should not be construed as Agreement modification.

5.5. Site administration has the right to change the list of Goods and services offered on the Site and (or) their prices at any time without User notification.

5.6. Document specified in clause 5.7.1 of this Agreement shall be regulated in the relevant part and shall apply to Site use by User: https://otcommerce.com/

5.7. Privacy Policy: https://otcommerce.com/documents-terms/privacy-policy/;

5.8. Any of documents listed in paragraph 5.7.1. of this Agreement may be subject to renewal. Changes come into force from the moment of their publication on the Site.

6. Responsibility

6.1. Any losses that User may incur in case of willful or reckless violation of any provision of this Agreement, as well as unauthorized access to communications by another User, are not reimbursed by Site Administration.

6.2. Site Administration is not responsible for:

6.2.1. Delays or failures in operation course due to force majeure, as well as any malfunction in telecommunications, computer, electrical and other related systems.

6.2.2. Actions of translation systems, banks, payment systems and delays related to their work.

6.2.3. Proper Site operation in case User does not have necessary technical equipment for its use, and also has no obligation to provide users with such means.

7. Conditions of user agreement

7.1. Site administration has the right to disclose information about User if current legislation of the Russian Federation requires or permits such disclosure.

7.2. Site Administration has the right to stop and (or) block access to the Site without prior notice of User if he/she violated this Agreement or Site terms of use contained in other documents, as well as in case of Site termination or due to a technical malfunction or a problem.

7.3. Site Administration is not liable to User or third parties for stopping access to the Site in case of violation of any Agreement provision by User or other document containing conditions for using the Site.

7.4. Site Administration has the right to disclose any information collected about Site User if this disclosure is necessary in connection with an investigation or a complaint regarding Site misuse or for establishing (identifying) User who may violate or interfere with Site Administration or other Users’ rights.

7.5. Site Administration has the right to disclose any information about User which is considered absolutely necessary to comply with the provisions of applicable law or judicial decisions, ensure compliance with Agreement terms, protect rights or security of organization, Users.

8. Settlement of disputes

8.1. A claim (written proposal for voluntary settlement) is a prerequisite before applying to the court in case of any disagreements or disputes between Parties of this Agreement.

8.2. Claimee gives written notice to claimer about claim examination results within 30 calendar days from receipt date.

8.3. Either Party has the right to seek legal redress for rights violations provided to him by the current legislation of the Russian Federation if it is not possible to come to voluntary settlement.

8.4. Any claim regarding conditions of Site use must be made within 5 days after the grounds of claim arise, with the exception of copyright protection for Site materials protected in accordance with the law. Any action will be left by the court without consideration if this clause conditions are violated.

9. Additional conditions

9.1. Site Administration does not accept counter-offers from User regarding changes to this User Agreement.

9.2. User reviews posted on the Site are not confidential information and can be used by Site Administration without restrictions.
